1. Acceptance of Terms

By accessing or using RepertoireStar.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

RepertoireStar.com is a digital platform designed for musicians to maintain repertoire lists, upload photos and videos of performances, and connect with other musicians. The Service is intended for educational and networking purposes within the music community.

3. Age Requirements and Parental Consent

3.1 Minimum Age

Users must be at least 13 years old to use this Service. Users under 18 are considered minors and subject to additional protections under these Terms.

3.2 Parental Consent

If you are under 18 years old, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. Parents and guardians are responsible for monitoring their minor child's use of the Service.

3.3 COPPA Compliance

For users under 13, we comply with the Children's Online Privacy Protection Act (COPPA). We do not knowingly collect personal information from children under age thirteen (13) (or the otherwise applicable age of digital consent in any particular jurisdiction). Children under the applicable age of digital consent are not permitted to use our websites and services, and must request a parent or guardian to provide any personal data in connection with the site and/or services. We will delete any information later determined to have been collected from an underage user. Parents may add underage users and maintain the account on behalf of the minor. RepertoireStar.com is not liable for obtaining such consent on behalf of a child.

If you are a parent uploading the information of your child, we will collect the information mentioned above in relation to your child, and your contact information to enable you to log in to manage the child's account. Please note that when you create an account for your child, personal information may be accessed by the child, their followers, and other users.

4. User Accounts

4.1 Account Creation

You must provide accurate, complete information when creating an account. You are responsible for maintaining the security of your account credentials.

4.2 Account Responsibility

You are responsible for all activities that occur under your account. Notify us immediately of any unauthorized use of your account.

4.3 Account Termination

We may suspend or terminate accounts that violate these Terms or engage in harmful behavior.

5. Content and Intellectual Property

5.1 User Content

You retain ownership of content you upload ("User Content") but grant us a license to use, display, and distribute your content through the Service.

5.2 Content Guidelines

10. Indemnification

You agree to indemnify and hold RepertoireStar.com (and its officers, employees, and agents) harmless, including costs and attorneys' fees, from any claim or demand made by any third party due to or arising out of:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of applicable laws or regulations
  • Your User Content
  • Your interactions with other users

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You agree not to settle any matter without our prior written consent.

11. User Release

You hereby release and forever discharge RepertoireStar.com (and our officers, employees, agents, successors, and assigns) from each and every past, present and future dispute, claim, controversy, demand, right, obligation, liability, action and cause of action that has arisen or arises directly or indirectly out of, or relates directly or indirectly to, your use of the Service, including any interactions with other users or third-party content.

12. Disclaimers and Limitation of Liability

12.1 Service Disclaimers

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ALL WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, OR NON-INFRINGEMENT.

12.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL RepertoireStar.com BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOST PROFITS, LOST DATA, COSTS OF PROCUREMENT OF SUBSTITUTE PRODUCTS, OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR LIABILITY TO YOU FOR ANY DAMAGES ARISING FROM OR RELATED TO THESE TERMS WILL AT ALL TIMES BE LIMITED TO A MAXIMUM OF ONE HUNDRED US DOLLARS ($100). THE EXISTENCE OF MORE THAN ONE CLAIM WILL NOT ENLARGE THIS LIMIT.

12.3 User Responsibility

Users are responsible for their own actions and interactions on the platform. Access to and use of the Service is at your own discretion and risk.

13. Copyright Policy (DMCA)

13.1 Copyright Compliance

We respect the intellectual property of others and require that users of our Service do the same. We have adopted and implemented a policy respecting copyright law that provides for the removal of any infringing materials and for the termination of users who are repeat infringers.

13.2 DMCA Takedown Procedure

If you believe that one of our users is unlawfully infringing the copyright(s) in a work, and wish to have the allegedly infringing material removed, the following information in the form of a written notification (pursuant to 17 U.S.C. § 512(c)) must be provided to our designated Copyright Agent:

  • Your physical or electronic signature
  • Identification of the copyrighted work(s) that you claim to have been infringed
  • Identification of the material on our Service that you claim is infringing and that you request us to remove
  • Sufficient information to permit us to locate such material
  • Your address, telephone number, and e-mail address
  • A statement that you have a good faith belief that use of the objectionable material is not authorized by the copyright owner, its agent, or under the law
  • A statement that the information in the notification is accurate, and under penalty of perjury, that you are either the owner of the copyright that has allegedly been infringed or that you are authorized to act on behalf of the copyright owner

14. Dispute Resolution and Arbitration

14.1 Mandatory Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT CONTAINS PROVISIONS GOVERNING HOW TO RESOLVE DISPUTES BETWEEN YOU AND RepertoireStar.com. AMONG OTHER THINGS, THIS SECTION INCLUDES AN AGREEMENT TO ARBITRATE WHICH REQUIRES, WITH LIMITED EXCEPTIONS, THAT ALL DISPUTES BETWEEN YOU AND US SHALL BE RESOLVED BY BINDING AND FINAL ARBITRATION. THIS SECTION ALSO CONTAINS A CLASS ACTION AND JURY TRIAL WAIVER.

14.2 Agreement to Arbitrate

Unless you opt out within 30 days of accepting these Terms, you agree that any dispute arising out of or relating to these Terms or the Service will be resolved through binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

14.3 Arbitration Rules

The arbitration will be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be held in Delaware or another location we mutually agree to.

14.4 Class Action Waiver

You agree that any arbitration shall be conducted in your individual capacity only and not as a class action or other representative action. You expressly waive your right to file a class action or seek relief on a class basis.

14.5 Jury Trial Waiver

You waive your right to a jury trial for any dispute with us.

14.6 Opt-Out Right

You may opt out of this arbitration agreement by sending written notice to stacie@staked.software within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you want to opt out of the arbitration agreement.

14.7 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights or confidential information.

15. Google Services Integration

15.1 Third-Party Services

Our Service may integrate with Google services. Use of Google services is subject to Google's Terms of Service and Privacy Policy.

15.2 Data Integration

If you choose to connect Google services, you consent to data sharing as outlined in our Privacy Policy.

16. Feedback and Suggestions

If you provide us with any feedback or suggestions regarding the Service ("Feedback"), you hereby assign to us all rights in such Feedback and agree that we shall have the right to use and fully exploit such Feedback and related information in any manner we deem appropriate. We will treat any Feedback you provide as non-confidential and non-proprietary.

17. Termination

17.1 Termination by User

You may terminate your account at any time by contacting us or using account deletion features.

17.2 Termination by Us

We may terminate or suspend accounts for violations of these Terms, illegal activity, or at our discretion.

17.3 Effect of Termination

Upon termination, your access to the Service ends, though some provisions of these Terms may survive.

18. Changes to Terms

We may modify these Terms at any time. We will notify users of material changes via email or platform notifications. Continued use after changes constitutes acceptance of new Terms.

19. Governing Law

These Terms are governed by the laws of the state of Delaware.

21. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
